Definitions
The Company means the host of the training portal and website Zenler.com.
Ibiliti means The Trainer: Ibiliti Risk Solutions (Pty) Ltd is the trainer, owner, author and compiler of the training material made available to South African Financial Services Providers in their capacity as licensed and authorised professional insurance advisors, for the purpose of understanding, promoting, and marketing the Insurer’s niche insurance products to policyholders.
Copyright, Permitted Use and Restrictions
- Ibiliti content on Zenler All training material, notes, guides, explanations, presentations, downloads, videos, templates, and any other content uploaded by Ibiliti to the Zenler platform (“Ibiliti Content”) remains the exclusive intellectual property of Ibiliti and is protected by applicable copyright and intellectual property laws. This clause applies only to content created and uploaded by Ibiliti onto Zenler and does not apply to any content, systems, software, or materials belonging to Zenler. The Ibiliti Content is made available to authorised Financial Services Providers in their capacity as licensed and authorised professional insurance advisors, solely for the purpose of enhancing their knowledge, enabling them to better advise clients, and promoting and marketing Ibiliti’s niche insurance products to policyholders.
Permitted Use
Authorised users may:
* Access, download, and store the Ibiliti Content for reference in the ordinary course of advising clients;
* Use the knowledge and explanations contained in the Ibiliti Content when advising clients;
* Incorporate extracts, summaries, and adapted portions of the Ibiliti Content into their own client-facing advisory and marketing material for the purpose of promoting Ibiliti’s products;
* Reproduce limited portions of the Ibiliti Content in client communication where reasonably necessary to explain Ibiliti’s products accurately to policyholders;
* Retain copies for compliance, training, and record-keeping purposes related to advising on Ibiliti’s products.
Prohibited Use
Authorised users may not:
* Copy, reproduce, republish, upload, post, transmit, distribute, store, or commercialise the Ibiliti Content, in whole or in substantial part, as a standalone document, manual, training programme, product, or resource, except as reasonably permitted for advising on or marketing Ibiliti’s products;
* Use the Ibiliti Content, directly or indirectly, to create, design, develop, support, or promote any competing insurance, financial, or training product or service;
* Share, transfer, sublicense, make available, or “mirror” the Ibiliti Content on any other platform, server, website, storage system, or training environment, or provide it to any third party (including other insurers, brokers, training providers, or competitors), other than where reasonably necessary to advise a client on Ibiliti’s products;
* Remove, alter, obscure, or tamper with any copyright, trademark, or other proprietary notices contained in or on the Ibiliti Content.
Purpose of the training content and materials
The Content is provided to authorised professional financial services providers (advisors) and employees of Ibiliti solely to enable them to understand, explain, market, administer, and give accurate advice regarding the Insurer’s products and policy terms and conditions to existing and prospective policyholders.
Nature of Rights Granted
No license, ownership, or proprietary interest is transferred to any user. A limited, revocable right of use is granted strictly for purposes connected to advising on and marketing Ibiliti’s products.
Governing Law
This clause shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.
